Confidentiality Agreement / Non-Compete Clause

This Agreement entered into on Friday, March 29th, 2024 by and between (AUTHOR NAME) who resides at (AUTHOR ADDRESS) (hereinafter "AUTHOR") and OnlineWritingJobs.com, its Affiliated Companies and its Clients, offices at 194 Westside Drive, Ballston Lake, NY 12019 (hereinafter "COMPANY").

WHEREAS COMPANY possesses certain ideas and information, client names and lists, business processes and other confidential information relating to COMPANY and Clients that is confidential and proprietary to COMPANY (hereinafter "Confidential Information"); and WHEREAS the AUTHOR is willing to receive disclosure of the Confidential Information pursuant to the terms of this Agreement for the purpose of writing and researching article(s);

Term. This Agreement will remain in full force and effect for so long as the parties continue to exchange Confidential Information and shall survive until such time as the Confidential Information of the other party disclosed under this Agreement becomes publicly available and/or made generally known through no action or inaction of the receiving party.

General. AUTHOR agrees that any violation of this Agreement will cause irreparable injury to COMPANY, entitling COMPANY to injunctive relief, specific performance, as well as such further relief as may be granted by an appropriate court.

Disclosure. COMPANY agrees to disclose, and AUTHOR agrees to receive Confidential Information. AUTHOR agrees not to use the Confidential Information in any way, or to manufacture or test any product embodying Confidential Information.

No Disclosure. AUTHOR agrees to use its best efforts to prevent and protect the Confidential Information, or any part thereof, from disclosure to any person other than AUTHOR'S employees having a need for disclosure in connection with AUTHOR'S authorized use of the Confidential Information. AUTHOR will not include any links to websites or other affiliations where AUTHOR has an interest or connection of any kind, whether for profit or not, without permission.

Protection of Secrecy. AUTHOR agrees to take all steps reasonably necessary to protect the secrecy of the Confidential Information, and to prevent the Confidential Information from falling into the public domain or into the possession of unauthorized persons.

Limits on Confidential Information. Confidential Information shall not be deemed proprietary and the AUTHOR shall have no obligation with respect to such information where the information: Has become publicly known through no wrongful act of AUTHOR; or was ordered to be publicly released by the requirement of a government agency.

Ownership of Confidential Information. AUTHOR agrees all Confidential Information shall remain the property of COMPANY, and that COMPANY may use such Confidential Information for any purpose without obligation to AUTHOR. Nothing contained herein shall be construed as granting or implying any transfer of rights to AUTHOR in the Confidential Information, or any patents or other intellectual property protecting or relating to the Confidential Information.

Non-Compete Clause – The term "Non-Compete" as used herein shall mean that the AUTHOR shall not manage, operate, consult, write, blog, or be employed by the Client which hired the COMPANY. The AUTHOR shall not contact the Client in any way not pertaining to current employment with the COMPANY.

This agreement shall be binding upon and inure to the benefit of the parties, their successors, assigns and personal representatives.

IN WITNESS WHEREOF, the parties have executed this agreement effective as of the date first written above.

Content Release Form

OnlineWritingJobs.com, located at 194 Westside Drive, Ballston Lake, NY 12019 hereafter referred to as COMPANY has hired (AUTHOR NAME) of (AUTHOR ADDRESS) hereafter referred to as AUTHOR to write and/or edit articles covering a wide variety of topics. Total compensation due AUTHOR will be negotiated on a per project basis and will be clearly stated for each project. This transaction between COMPANY and AUTHOR is governed by the following agreements:

  1. AUTHOR acknowledges that this is a work for hire and that all copyrights in the piece belong to the COMPANY.
  2. AUTHOR acknowledges that acceptance of the compensation specified for each project is granted when AUTHOR submits work to the COMPANY.
  3. AUTHOR acknowledges that the COMPANY reserves editorial rights as to grammar, spelling, deletions, formatting, and other minor changes that do not affect the material content of the piece.
  4. AUTHOR warrants that none of the material is plagiarized and that citations are provided wherever material is used from another source.
  5. AUTHOR maintains offline portfolio rights, but agrees not to place the article on the Internet.
  6. AUTHOR acknowledges he/she may be used as a GHOST WRITER and may not be named as the AUTHOR or share with anyone that he/she was the AUTHOR or editor of any work created for the COMPANY except in his/her offline portfolio. If AUTHOR is to be used as a GHOST WRITER, he/she will be informed before agreeing to the project.

Writer and/or editor, (hereinafter referred to as the AUTHOR) AUTHOR agrees that, during the term of employment and for one year thereafter, AUTHOR in any communications, shall not make, participate in the making of, or encourage any other person to make, any statements, written or oral, which criticize, ridicule, disparage, or defame the goodwill or reputation of, or which are intended to embarrass or adversely affect the morale of OnlineWritingJobs.com, (hereinafter referred to as the COMPANY) along with any of their respective employees and any other name affiliated with the COMPANY and their clients. No employee of the COMPANY will, during the same time period, criticize, ridicule or make any statement which disparages or is derogatory of the AUTHOR.
